ELLIPAL Terms and Conditions

In order to use ELLIPAL’s services, you must read and agree to this ELLIPAL Service Agreement ("this Agreement" or "these Terms"). Please read all provisions carefully and thoroughly, especially those regarding limitation of liability, disclaimers, jurisdiction, and applicable law, as well as any separate agreements for specific services. Important provisions may be bolded or emphasized to draw your attention.

Unless you have read and accepted all terms of this Agreement, you do not have the right to use the services provided by ELLIPAL. Your use of ELLIPAL’s services constitutes your acknowledgment that you have read and agreed to be bound by this Agreement.

If you are under the age of 18, you must obtain prior written consent from your parent or legal guardian before using our products or services, read this Agreement under the guidance of a legal guardian, and pay special attention to the terms of use for minors.

1. Scope of the Agreement

1.1 Parties

This Agreement is entered into between you (the "User" or "you") and ELLIPAL Limited ("ELLIPAL," "we," "us," or "our") regarding your use of ELLIPAL’s services. "ELLIPAL" refers to the operating entity of ELLIPAL and its associated services.

1.2 Services Covered

The services under this Agreement refer to the products and services provided by ELLIPAL to users, including but not limited to ELLIPAL hardware wallets, the ELLIPAL mobile applications for iOS and Android, our Website, and related features and functionalities (collectively, the "Services").

1.3 Integral Documents

This Agreement includes the ELLIPAL Privacy Policy, Warranty & Refund Policy, Shipping Policy, and any other business rules and separate agreements officially published by ELLIPAL. Once these documents are officially released, they become integral parts of this Agreement. Your acceptance of any such business rules or separate agreements constitutes acceptance of this Agreement.

1.4 Agreement to Terms

By clicking "I Accept," creating or importing a wallet, purchasing our products, or otherwise accessing or using ELLIPAL’s Services, you demonstrate your agreement to these Terms.

2. Definitions

For the purposes of this Agreement, the following terms shall have the meanings set forth below:

2.1 ELLIPAL Devices. Hardware wallets developed and distributed by ELLIPAL, including but not limited to: ELLIPAL Titan and ELLIPAL Titan 2.0 (fully air-gapped hardware wallets with a large touchscreen display); ELLIPAL Titan Mini (a compact version of the ELLIPAL hardware wallet); ELLIPAL X Card (a card-format hardware wallet); and any other hardware wallet products released by ELLIPAL.

2.2 ELLIPAL Application (ELLIPAL App). The mobile application software developed by ELLIPAL for iOS and Android operating systems, or PC desktop applications, browser extensions, and other forms of applications, which provides an interface for managing Digital Assets and interacting with ELLIPAL Devices.

2.3 Account / Wallet. The blockchain wallet created or imported through ELLIPAL Services, which allows users to manage their Digital Assets.

2.4 Account Password / Wallet Password. The password or PIN you set during wallet creation to encrypt and protect your Private Key. As a decentralized application, ELLIPAL does not store wallet passwords or PINs on your device or on company servers. If you lose or forget your password or PIN, you must reset it using your Private Key or Seed Phrase.

2.5 Private Key. A critical cryptographic key consisting of random bits that enables ownership and control of Digital Assets. The Private Key is the core element allowing users to authorize transactions and access their Digital Assets.

2.6 Public Key. A cryptographic key derived from the Private Key through cryptographic algorithms, used to generate blockchain wallet addresses for receiving Digital Assets.

2.7 Seed Phrase / Recovery Phrase / Mnemonic Phrase. A sequence of human-readable words generated by a random algorithm, representing an easy-to-record form of the Private Key. The Seed Phrase facilitates backup and recovery of wallet access.

2.8 Keystore. A file format in which the Private Key or Seed Phrase is encrypted using your Account Password. The Keystore is stored only on your mobile device and is never synchronized to company servers.

2.9 Digital Asset / Crypto Asset. Types of digital assets currently supported by ELLIPAL, including but not limited to Bitcoin (BTC), Ethereum (ETH), and other cryptocurrencies and tokens on various blockchain networks.

2.10 Blockchain Address / Wallet Address. A unique identifier that serves as a destination for receiving Digital Assets on a blockchain network.

2.11 Transaction. Operations involving Digital Assets, including but not limited to transferring, sending, receiving, or exchanging Digital Assets through blockchain networks.

2.12 Message Center. An inbox within the ELLIPAL App where users receive information, notifications, and announcements from ELLIPAL.

2.13 Personal Information. Electronic or other recorded information that can identify a user’s personal identity, either alone or combined with other information, including but not limited to name, date of birth, identification number, biometric information, address, phone number, email address, mobile device information, operation records, and transaction records. Personal Information does not include wallet passwords or PINs, Private Keys, wallet addresses, Seed Phrases, or Keystores.

2.14 Smart Contract. Self-executing programs deployed on blockchain networks (such as Ethereum) designed to automatically execute, verify, or enforce contract terms.

2.15 Third-Party Services. Services provided by entities other than ELLIPAL, which may be accessible through the ELLIPAL App, including but not limited to swap services, on-ramp/off-ramp services, staking services, market data services, and decentralized applications (DApps).

2.16 DApp / Decentralized Application. Applications that operate on blockchain networks through smart contracts, without centralized control.

2.17 Gas Fee / Network Fee. Transaction fees required by blockchain networks to process and validate transactions.

3. Eligibility

3.1 Age Requirement

To use ELLIPAL Services, you must be at least 18 years old or have reached the age of majority in your jurisdiction. If you are under 18 years old, you must obtain prior written consent from your parent or legal guardian before using ELLIPAL Services, and use the Services under their guidance and supervision.

3.2 Legal Capacity

You represent and warrant that you have the legal capacity to enter into this Agreement and to use the Services in accordance with these Terms.

3.3 Entity Users

If you are using the Services on behalf of a legal entity, you represent and warrant that the entity is duly organized and validly existing under applicable laws, and that you are duly authorized to accept these Terms on its behalf.

3.4 Jurisdictional Compliance

You may only use the Services if permitted under the laws of your jurisdiction. You are responsible for ensuring that your use of the Services complies with all applicable laws, rules, and regulations.

3.5 Prohibited Persons

You represent and warrant that you are not: located in, organized under the laws of, or a resident of any country or region subject to comprehensive sanctions or embargoes, such as Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine, among others; identified on any sanctions list maintained by governmental authorities (including but not limited to OFAC, UN, EU, or UK sanctions lists); or owned or controlled by any such sanctioned person or entity.

4. ELLIPAL Services

4.1 Wallet Creation and Management

 Create Wallet Account. You can create a new wallet identity through ELLIPAL Devices, which will generate new Private Keys and Seed Phrases securely within the ELLIPAL Devices.

 Recover Wallet Account. You can restore an existing wallet by importing your Seed Phrase, Private Key, or Keystore through ELLIPAL Devices.

 Multi-Chain Support. ELLIPAL supports multiple blockchain networks, allowing you to manage various Digital Assets within a single identity.

 Hardware Wallet Connection. You can connect ELLIPAL Devices to the ELLIPAL App via QR code scanning for enhanced security. All sensitive operations requiring Private Key signatures are performed within the ELLIPAL Device.

4.2 Transaction Services

 Send and Receive. You can use ELLIPAL to send and receive Digital Assets. Sending involves using your Private Key to sign transactions, which are then broadcast to the relevant blockchain network.

 Address Management. ELLIPAL enables you to generate and manage blockchain addresses for receiving Digital Assets. You are solely responsible for verifying the accuracy of addresses before conducting transactions.

 Transaction Verification. When using ELLIPAL Devices, always verify transaction details (recipient address, amount, and fees) on the device screen and in the ELLIPAL App before confirming. The Titan device provides a trusted display environment.

4.3 Information Services

 Portfolio View. The ELLIPAL App displays your Digital Asset balances and portfolio value across supported blockchain networks.

 Market Data. The ELLIPAL App provides access to cryptocurrency price information and exchange rates from third-party data providers. ELLIPAL does not guarantee the accuracy or timeliness of such information.

 Transaction History. ELLIPAL copies some transaction records from blockchain networks for display purposes. You should rely on the blockchain network as the authoritative source for transaction records.

4.4 Token Management

 Supported Tokens. ELLIPAL supports a wide range of tokens across multiple blockchain networks. The list of supported tokens is subject to change at ELLIPAL’s discretion.

 Token Display Management. You can add or remove tokens from your display list within the ELLIPAL App according to your preferences.

 Custom Tokens. You may add custom tokens by providing contract addresses, though ELLIPAL does not verify or endorse such tokens.

4.5 Third-Party Services Integration

The ELLIPAL App may provide access to Third-Party Services, including but not limited to cryptocurrency swap services, on-ramp/off-ramp services (buy/sell), staking services, price discovery and market analysis tools, decentralized applications (DApps), blockchain explorers, and other blockchain-related services.

The availability of Third-Party Services through the ELLIPAL App does not constitute an endorsement, recommendation, or guarantee by ELLIPAL. You use Third-Party Services at your own risk. Your use of Third-Party Services is subject to separate terms and conditions between you and the respective providers, which you are responsible for reviewing and accepting before use. The App may display risk warnings or redirect confirmation pop-ups; if you continue, you are deemed to have understood and accepted that you are entering into an independent agreement with the third party.

4.6 Additional Features

 Educational Content. ELLIPAL may provide educational materials and resources to help users understand cryptocurrency security and best practices.

 Security Features. ELLIPAL Devices incorporate various security features, including anti-tamper mechanisms, a secure element chip for Private Key storage, a completely air-gapped design (no wireless connectivity), encrypted communication between the App and Devices, and other mechanisms used to enhance transaction and asset security.

 Updates and Improvements. ELLIPAL may release software updates and firmware upgrades to improve functionality, security, and user experience. You are responsible for keeping your ELLIPAL App and Devices updated.

 Future Services. ELLIPAL reserves the right to introduce new services and features at its discretion.

5. User Responsibilities and Obligations

5.1 Security Responsibilities

You are solely responsible for keeping your Seed Phrase secure and confidential; creating and maintaining a strong Account Password or PIN; protecting your ELLIPAL Devices from loss, theft, or unauthorized access; and ensuring that no other person gains access to your credentials.

Upon creating a new wallet, you must immediately back up your Seed Phrase, store it in a secure physical location, never store it digitally (no photos, cloud storage, or electronic files), and consider creating multiple physical backups stored in separate secure locations.

You must never share your Seed Phrase, Private Key, or Account Password/PIN with anyone; enter your Seed Phrase into any device other than genuine ELLIPAL Devices; photograph or digitally record your Seed Phrase; or store your credentials in any location accessible to others.

You must keep your ELLIPAL Device physically secure at all times; protect it from physical damage, extreme temperatures, water, and electromagnetic interference; only use genuine ELLIPAL Devices purchased from authorized sources; and verify device integrity upon receipt.

5.2 Transaction Responsibilities

Before confirming any transaction, you must carefully verify the recipient address, confirm the transaction amount, and review the network fees. For the Titan device, ensure all details displayed in the ELLIPAL App match those shown on your ELLIPAL Device screen; for the X Card, ensure all details displayed in the ELLIPAL App match those you submitted.

You acknowledge and agree that blockchain transactions are irreversible once confirmed, that ELLIPAL cannot reverse, cancel, or recover funds from completed transactions, and that you bear sole responsibility for transaction errors, including sending funds to incorrect addresses or networks.

You understand that blockchain network fees are required for transaction processing, are paid to blockchain validators rather than to ELLIPAL, fluctuate based on network congestion, and that insufficient fees may result in transaction delays or failures.

5.3 Compliance Obligations

You agree to comply with all applicable laws and regulations in your jurisdiction, to use ELLIPAL Services only for lawful purposes, and not to use the Services for any illegal activities, including but not limited to money laundering, terrorist financing, fraud, or sanctions violations. You are solely responsible for determining and paying all applicable taxes; ELLIPAL does not provide tax advice or reporting. You further represent that you will not use ELLIPAL Services in violation of any export control or sanctions laws.

5.4 Prohibited Activities

You must not use ELLIPAL Services to engage in or facilitate illegal activities, violate any laws or regulations, infringe intellectual property rights, distribute harmful content or malware, engage in fraudulent activities, or support terrorism or money laundering.

You must not attempt to hack, compromise, or interfere with ELLIPAL Services; use unauthorized automated tools or bots; reverse-engineer, decompile, or disassemble ELLIPAL software or devices; circumvent any security features or access controls; or overload or disrupt ELLIPAL’s infrastructure.

You must not provide false or misleading information, impersonate any person or entity, create multiple accounts to abuse services, or engage in any deceptive practices.

5.5 Consequences of Violations

If you violate these Terms, you may face legal proceedings initiated by government authorities, civil liability to affected third parties, and suspension or termination of your access to ELLIPAL Services. You agree to indemnify and hold harmless ELLIPAL from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms or misuse of the Services.

6. Risks, Disclaimers, and Recommendations

You acknowledge that you have been informed of the following risks and recommendations.

6.1 Technology and Security Risks

You acknowledge that blockchain technology is relatively new and subject to technical uncertainties; that blockchain networks may experience outages, delays, or failures; that smart contracts may contain bugs or vulnerabilities; and that advances in cryptography (such as quantum computing) could potentially compromise blockchain security.

Despite ELLIPAL’s air-gapped design, general cybersecurity risks exist: malware on your mobile device could tamper with transaction data, phishing and social engineering attacks may target users, and fake or counterfeit ELLIPAL devices may exist.

You acknowledge that physical damage to ELLIPAL Devices may result in loss of access, that extreme environmental conditions may damage devices, that device malfunction could occur despite quality controls, and that lost or stolen devices may be irrecoverable. ELLIPAL may also offer an entry point to use App functionality without an ELLIPAL Device, which has significantly lower security; this is intended only for experiencing the App’s features, and we do not recommend using it to store assets.

6.2 Financial and Market Risks

Digital Assets are subject to extreme price volatility, and the value of your holdings may increase or decrease significantly in short periods. Some Digital Assets may have limited liquidity, making them difficult to exchange or sell. Digital Assets may lose all or substantially all of their value, and you should only invest amounts you can afford to lose. ELLIPAL does not provide investment, financial, tax, or legal advice; all decisions regarding Digital Asset transactions are your sole responsibility.

6.3 Regulatory and Legal Risks

The regulatory status of Digital Assets varies by jurisdiction and is subject to change. Future regulations may restrict or prohibit cryptocurrency usage, impose taxation or reporting requirements, or affect the value or legality of specific Digital Assets. Blockchain transactions are pseudonymous and global, and you may inadvertently interact with sanctioned addresses or jurisdictions. Cryptocurrency transactions may trigger tax obligations depending on your jurisdiction.

6.4 Operational Risks

Common user errors include sending funds to incorrect addresses or networks, losing or forgetting credentials, failing to back up Seed Phrases, falling victim to scams or phishing, sharing Seed Phrases or Private Keys with others, and importing your cold wallet Seed Phrase into a hot wallet or using it with other wallet products simultaneously. Blockchain transactions cannot be reversed, and errors typically result in permanent loss of funds. During periods of high network activity, transactions may experience delays or require higher fees.

6.5 Third-Party Risks

Third-Party Services accessed through the ELLIPAL App are not controlled or operated by ELLIPAL and may fail, become unavailable, contain errors, engage in fraudulent or deceptive practices, or suffer security breaches. Decentralized applications may contain smart contract vulnerabilities, be subject to hacks or exploits, operate in unregulated environments, and result in loss of funds.

6.6 Important Recommendations

Before using ELLIPAL Services, learn about blockchain technology and cryptocurrency, understand the risks involved, familiarize yourself with security best practices, and stay informed about regulatory developments. If you are new to cryptocurrency, begin with small amounts while learning, practice creating and restoring wallets, and test transactions with minimal values.

Always purchase ELLIPAL products from authorized sources, verify device authenticity upon receipt, download the ELLIPAL App only from official app stores, and double-check website URLs and communications. Ensure your Seed Phrase backup is accurate and readable, that multiple secure backup copies exist, and that backup locations are secure from theft, fire, and water damage. Protect yourself by being skeptical of unsolicited communications, never sharing your Seed Phrase or Private Key, verifying all transaction details before confirming, keeping software updated, and monitoring your accounts regularly.

6.7 No Liability for Disclosed Risks

You expressly acknowledge and agree that, to the maximum extent permitted by applicable law, ELLIPAL shall not be liable for any losses or damages arising from the risks disclosed in this Section 6, including but not limited to losses resulting from market volatility, regulatory changes, user error, or technological failures.

7. Intellectual Property Rights

7.1 ELLIPAL’s Intellectual Property

ELLIPAL and its licensors own all rights, title, and interest in and to the Services, including the ELLIPAL App software and source code, ELLIPAL Device firmware and hardware designs, trademarks, logos, and brand elements, documentation and educational materials, Website content and design, and all related intellectual property rights. "ELLIPAL," the ELLIPAL logo, and other marks used in connection with the Services are trademarks of ELLIPAL, which you may not use without prior written permission.

7.2 License to Users

Subject to your compliance with these Terms, ELLIPAL grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the ELLIPAL App on compatible devices you own or control, to use ELLIPAL Devices for their intended purpose, and to access and use the Services for personal, non-commercial purposes.

You may not copy, modify, or create derivative works of ELLIPAL software or firmware; reverse-engineer, decompile, or disassemble ELLIPAL products; distribute, sell, lease, or sublicense ELLIPAL software or devices; remove or alter any copyright, trademark, or proprietary notices; or use ELLIPAL intellectual property for commercial purposes without authorization.

7.3 Open-Source Components

ELLIPAL Services may incorporate open-source software components, which are licensed under their respective open-source licenses. To the extent required by applicable open-source licenses, ELLIPAL will make available source code and license information as required.

7.4 User Content and Feedback

You retain ownership of any content you create using ELLIPAL Services. If you provide feedback, suggestions, or ideas regarding ELLIPAL Services, you grant ELLIPAL a worldwide, perpetual, irrevocable, royalty-free license to use, implement, and commercialize such feedback without compensation or attribution.

7.5 Copyright Protection

ELLIPAL respects intellectual property rights and expects users to do the same. If you believe your intellectual property rights have been infringed through ELLIPAL Services, please contact ELLIPAL with detailed information.

8. Third-Party Services

8.1 Nature of Third-Party Services

Third-Party Services are provided by independent entities not controlled by ELLIPAL. ELLIPAL acts solely as an interface or portal to access such services, which may include swap services, on-ramp/off-ramp services, staking services, price discovery and market analysis tools, DApps, blockchain explorers, and other blockchain-related services.

8.2 Terms and Conditions

Your use of Third-Party Services is governed by separate terms and conditions between you and the third-party provider. You are responsible for reviewing, understanding, and accepting those terms before use. ELLIPAL is not a party to agreements between you and Third-Party Service providers.

8.3 Disclaimers Regarding Third-Party Services

ELLIPAL does not control, operate, or maintain Third-Party Services. Their availability through the ELLIPAL App does not constitute an endorsement, recommendation, or guarantee of their quality, safety, or legality. ELLIPAL makes no warranties regarding Third-Party Services and is not responsible for their performance or failure, their content, accuracy, or security, any losses or damages arising from their use, or disputes between you and third-party providers.

8.4 Risks of Third-Party Services

You acknowledge that Third-Party Services may fail, malfunction, or become unavailable; contain errors, bugs, or security vulnerabilities; engage in fraudulent or deceptive practices; violate laws or regulations; or change their terms or cease operations without notice.

8.5 User Responsibilities

You are solely responsible for evaluating the suitability and safety of Third-Party Services, understanding the risks involved, verifying the legitimacy of third-party providers, and protecting your funds and information when using them. Any disputes, complaints, or issues with Third-Party Services must be resolved directly with the relevant provider.

8.6 Modifications to Third-Party Services

Third-party providers may modify, suspend, or discontinue their services at any time without notice to ELLIPAL or users. ELLIPAL reserves the right to add or remove Third-Party Services from the App, block access to specific Third-Party Services, and modify their integration or display, without prior notice or liability.

8.7 Personal Data and Third-Party Services

When you use Third-Party Services, your information may be shared with or collected by third-party providers according to their privacy policies. You should review those privacy policies to understand how they handle your data. ELLIPAL is not responsible for third-party data practices.

9. Fees and Costs

9.1 ELLIPAL Fees

ELLIPAL may charge fees for certain services, including but not limited to access to premium features (if applicable), integration with specific Third-Party Services, and other value-added services. ELLIPAL may display estimated fees or the amount after fees are deducted for your convenience; however, actual fees may differ due to network conditions or other temporary reasons.

9.2 Third-Party Fees

You may incur fees charged by third parties when using ELLIPAL Services, including blockchain network fees (gas fees), Third-Party Service provider fees, exchange or swap fees, and other transaction-related costs. ELLIPAL does not control and is not responsible for fees charged by blockchain networks or third-party providers.

9.3 Payment and Non-Refundability

You agree to pay all applicable fees associated with your use of ELLIPAL Services. Fees may be deducted from your transaction amounts or charged through other methods as disclosed. All fees paid are generally non-refundable unless otherwise stated or required by applicable law.

9.4 Taxes

You are solely responsible for determining and paying all applicable taxes related to your use of ELLIPAL Services and any cryptocurrency transactions. ELLIPAL does not provide tax advice; you should consult qualified tax professionals regarding your tax obligations.

10. Product Purchases and Sales

10.1 Orders

All orders placed through our Website are offers to purchase, which we may accept or decline. An order is confirmed only when we send you a confirmation or dispatch the Products.

10.2 Pricing and Availability

We make reasonable efforts to ensure that product information, pricing, and availability on our Website are accurate. However, we reserve the right to refuse or cancel an order before dispatch in certain circumstances, including where a Product is out of stock or where information relating to the Product or order contains an evident inaccuracy. If we cancel an order for which you have already paid, we will issue a full refund for that order.

10.3 Prices, Duties, and Taxes

Prices are shown in the currency indicated at checkout and do not include import duties or taxes unless stated otherwise. You are responsible for any duties or taxes that may apply, as described in our Shipping Policy.

10.4 Warranty, Returns, and Shipping

Purchases of ELLIPAL hardware products are also governed by our Warranty & Refund Policy and Shipping Policy, which are incorporated into these Terms by reference. Please refer to those policies for details on warranty coverage, replacement, returns, refunds, and delivery.

11. Privacy and Personal Information Protection

Protecting user privacy and personal information is a fundamental principle of ELLIPAL. ELLIPAL collects, uses, stores, and shares your personal information in accordance with this Agreement and the ELLIPAL Privacy Policy. If any provision of this Section conflicts with the Privacy Policy, the Privacy Policy shall prevail; for matters not addressed in this Section, please refer to the Privacy Policy.

You may need to provide necessary information during registration or when using certain Services, and you may choose to provide additional optional information to enhance your experience. ELLIPAL may automatically collect certain technical information, such as device information and usage data, to improve the Services.

Non-Custodial Nature: ELLIPAL does not have access to or store your Private Keys, Seed Phrases, Account Passwords or PINs, Keystores, or transaction signing data.

ELLIPAL implements industry-standard security technologies and management procedures to protect your personal information from unauthorized access, use, or disclosure. Sensitive data is encrypted during transmission and storage, and ELLIPAL maintains strict internal access controls. ELLIPAL will not transfer or disclose your personal information to non-affiliated third parties except as required by applicable laws or government authority orders, in connection with a merger, acquisition, or asset transfer, as necessary to provide services you request, or with your explicit consent.

12. Acceptable Use of Services

Unless otherwise agreed, ELLIPAL Services are for your personal, non-commercial use only, accessed through methods provided or endorsed by ELLIPAL. Your rights under these Terms are personal to you and may not be transferred to others.

You may not use plug-ins, third-party tools, or other unauthorized means to interfere with, damage, modify, or otherwise affect the Services, and you may not take any actions that may damage, disable, overburden, or impair ELLIPAL’s systems or infrastructure.

You must comply with all applicable laws and regulations when using ELLIPAL Services and should respect local customs, ethics, and moral standards. If you violate applicable laws, relevant authorities may institute legal proceedings or take other actions against you, and ELLIPAL will not be liable for any consequences of your illegal activities. If your violations cause damage to third parties, you are solely responsible, and if ELLIPAL suffers losses as a result, you must compensate ELLIPAL.

13. Disclaimers and Limitation of Liability

13.1 "As Is" Provision of Services

You understand and agree that ELLIPAL Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or reliability, and uninterrupted or error-free operation. While ELLIPAL endeavors to provide high-quality Services and maintain security and continuity, ELLIPAL cannot guarantee that Services will be completely free from technical issues or external threats. Nothing in this Section affects the statutory warranty rights you may have as a consumer, or the specific warranty we provide under our Warranty & Refund Policy.

13.2 No Control Over Blockchain Networks

Blockchain networks are operated by independent third parties. ELLIPAL does not own, control, or operate any blockchain network and cannot guarantee that transactions will be confirmed, processed, or completed. Blockchain protocols may undergo changes (including forks) that affect the availability, characteristics, or functionality of Digital Assets, and ELLIPAL may suspend support for affected tokens at its discretion.

13.3 Force Majeure and Unforeseeable Events

ELLIPAL shall not be liable for service interruptions or failures caused by force majeure events, including natural disasters, war, civil unrest, terrorism, or government actions, power failures or telecommunications outages, internet service provider failures, and other events beyond ELLIPAL’s reasonable control. In such events, ELLIPAL will make reasonable efforts to restore Services promptly.

13.4 Technology-Related Exemptions

To the extent permitted by law, ELLIPAL shall not be liable for service interruptions or failures caused by computer viruses, malware, or hacking attacks; failures of user devices, software, or internet connections; failures of ELLIPAL systems, hardware, or communication lines; improper user operations or user errors; or use of Services through unauthorized means. ELLIPAL is also not responsible for information or content provided by third parties or other users, the actions or omissions of third-party service providers, or security breaches affecting third-party services.

13.5 Information and Content Disclaimer

ELLIPAL does not guarantee the accuracy, completeness, reliability, or timeliness of market data or price information, transaction history displays, educational content, or information from third-party sources. ELLIPAL is not responsible for content, information, or communications from other users.

13.6 Limited Purpose Disclaimer

ELLIPAL Services are not designed or intended for use in critical applications such as life-support systems or medical devices, nuclear facilities or military applications, aviation or transportation control systems, or other applications where failure could lead to death, personal injury, or severe environmental damage. ELLIPAL disclaims all liability for any consequences arising from use of the Services in such critical applications.

13.7 Limitation of Liability

To the maximum extent permitted by applicable law, ELLIPAL’s total liability to you for all claims arising from or related to these Terms or the Services shall not exceed the amount you paid to ELLIPAL (if any) in the twelve (12) months preceding the event giving rise to liability.

In no event shall ELLIPAL be liable for indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, or business opportunities; loss of data or Digital Assets; loss of goodwill or reputation; or any other losses resulting from your use of or inability to use the Services. These limitations apply regardless of the legal theory on which claims are based and even if ELLIPAL has been advised of the possibility of such damages. Nothing in this Section limits liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud.

13.8 User Assumption of Risk

By using ELLIPAL Services, you acknowledge that you have been informed of the risks described in these Terms and accept full responsibility for any consequences. You confirm that your decision to use ELLIPAL Services is based on your own judgment and risk tolerance, not on any guarantees or representations by ELLIPAL.

14. Service Modifications, Suspension, and Termination

14.1 Modifications to Services

ELLIPAL may, at its discretion, modify, update, or discontinue any features of the Services, add or remove supported Digital Assets, change the user interface or functionality, and implement new security measures. ELLIPAL will make reasonable efforts to provide advance notice of significant changes, though immediate changes may be necessary for security or technical reasons.

14.2 Suspension or Interruption

ELLIPAL may temporarily suspend Services for software updates and maintenance, security enhancements, infrastructure improvements, and bug fixes, and may immediately suspend Services in cases of security threats or vulnerabilities, system failures or technical emergencies, or legal or regulatory requirements.

14.3 Termination

You may stop using ELLIPAL Services at any time by uninstalling the ELLIPAL App and ceasing use of ELLIPAL Devices with the App; your Private Keys and Seed Phrases remain valid and can be used with compatible wallets. ELLIPAL reserves the right to suspend or terminate your access to Services, with or without notice, if you violate these Terms or applicable laws, provide false or misleading information, pose security risks, or where required by law or necessary for security or operational reasons.

14.4 Effects of Termination

Termination of ELLIPAL Services does not affect your access to Digital Assets; you can always recover your wallets using your Seed Phrase on compatible wallet applications. You are responsible for backing up your data. Provisions that by their nature should survive termination will remain in effect, including disclaimers, limitations of liability, indemnification obligations, and dispute resolution provisions.

14.5 Business Transfers

ELLIPAL reserves the right to transfer its assets, including user relationships, in connection with mergers, acquisitions, business restructuring, asset sales, or other corporate transactions, and may transfer operation of the Services to third parties after providing notice to users.

15. Updates and Software Maintenance

To ensure optimal security and functionality, ELLIPAL may release updates to the ELLIPAL App and firmware updates for ELLIPAL Devices. You are responsible for keeping the App updated to the latest version, downloading updates from official app stores (the Apple App Store and Google Play Store), and reviewing update information and release notes. Failure to install updates may result in reduced security, limited functionality, incompatibility with new features, or inability to support newly added tokens.

Only install the ELLIPAL App from official app stores and firmware updates through the genuine ELLIPAL Website; never install software from unauthorized third-party sources. Software with names similar to ELLIPAL from unofficial sources may be counterfeit or malicious, designed to steal credentials or funds, and incompatible with genuine ELLIPAL Devices. If you obtain the ELLIPAL App or firmware from unauthorized sources, ELLIPAL cannot guarantee proper functionality, security may be compromised, and you use such software at your own risk.

16. Dispute Resolution and Governing Law

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hong Kong, excluding its conflict-of-law provisions.

16.2 Good-Faith Negotiation

If any dispute or disagreement arises between you and ELLIPAL regarding these Terms or the Services, both parties agree to first attempt to resolve the matter through good-faith negotiation.

16.3 Jurisdiction

If a dispute cannot be resolved through negotiation, both parties agree to submit to the exclusive jurisdiction of the courts of Hong Kong. Any legal proceedings shall be conducted in accordance with the applicable procedural rules of the designated courts.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy, Warranty & Refund Policy, Shipping Policy, and any other policies incorporated by reference, constitute the entire agreement between you and ELLIPAL regarding the Services, and supersede all prior oral or written understandings, communications, or agreements concerning the Services.

17.2 Amendments to Terms

ELLIPAL reserves the right to modify these Terms at any time as necessary, including changes due to legal or regulatory requirements, technical developments, service improvements, or security enhancements. ELLIPAL will notify users of material changes through in-app notifications, email communications, or announcements on the ELLIPAL Website. Continued use of ELLIPAL Services after modifications take effect constitutes acceptance of the revised Terms; if you do not accept the changes, you must discontinue use of the Services. The current version will always be available within the ELLIPAL App and on the ELLIPAL Website.

17.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

17.4 Waiver

ELLIPAL’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of ELLIPAL.

17.5 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without ELLIPAL’s prior written consent. ELLIPAL may freely assign or transfer its rights and obligations, including in connection with mergers, acquisitions, restructuring, or sale of assets.

17.6 Headings and Interpretation

Section and subsection headings are for convenience and reading ease only; they have no substantive meaning and shall not be used to interpret the Terms. These Terms may be translated into multiple languages; in case of any discrepancy or conflict between versions, the English version shall prevail.

17.7 No Third-Party Beneficiaries

Except as expressly provided in these Terms, there are no third-party beneficiaries to this Agreement.

17.8 Relationship of Parties

You and ELLIPAL are independent parties. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship, and neither party has authority to bind the other without prior written consent.

17.9 Survival

Provisions that by their nature should survive termination of these Terms shall survive, including intellectual property rights, disclaimers and limitations of liability, indemnification obligations, dispute resolution provisions, and general provisions.

18. Compliance with Sanctions Laws

You represent and warrant that you are not located in, organized under the laws of, or a resident of any sanctioned country or territory; not identified on any sanctions list maintained by the U.S. Office of Foreign Assets Control (OFAC), the United Nations Security Council, the European Union, the United Kingdom HM Treasury, or other relevant governmental authorities; not owned or controlled, directly or indirectly, by any such sanctioned person or entity; and not acting on behalf of any sanctioned person or entity.

You shall not use ELLIPAL Services to conduct transactions involving sanctioned persons or entities, transfer Digital Assets to or from addresses associated with sanctioned jurisdictions, or facilitate any activity that would violate applicable sanctions laws. ELLIPAL may restrict or prohibit access to Services in certain countries, territories, or regions subject to comprehensive sanctions, such as Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine, among others, and reserves the right to determine the markets and jurisdictions where it operates.

You agree to maintain compliance with all applicable export control and sanctions laws throughout your use of ELLIPAL Services, and to immediately notify ELLIPAL if you become subject to any sanctions or export restrictions. ELLIPAL may implement screening procedures, deny or terminate Services to any user or in any territory to ensure compliance, and cooperate with government authorities as required by law. Violations may result in immediate termination of access, civil and criminal penalties, liability for damages caused to ELLIPAL, and other legal consequences.

19. Terms of Use for Minors

If you are under the age of 18, you are considered a minor and must obtain prior written consent from your parent or legal guardian before using ELLIPAL Services, read and use the Services under their supervision and guidance, and ensure your guardian understands and accepts these Terms on your behalf.

Guardians of minor users are responsible for supervising the minor’s use of ELLIPAL Services, ensuring the minor understands the risks associated with cryptocurrency, safeguarding the minor’s Private Keys and Seed Phrases, and any obligations or liabilities arising from the minor’s use of the Services. Minors and their guardians should pay particular attention to educational materials regarding cryptocurrency security best practices, the risks associated with Digital Assets, and proper use of ELLIPAL Devices and the App.
